Terms of Use

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Mapletask ("Service Provider", "we", "us", or "our"), concerning your access to and use of the Sapsal mobile application ("Application").

By downloading, installing, or using the Application, you agree that you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree with all of these Terms of Use, then you are expressly prohibited from using the Application and you must discontinue use immediately.

1. The Application

Sapsal is a real-time team messaging application that lets you create and join workspaces, communicate in channels and direct messages, reply in threads, react to messages, and share files. The Application is provided "AS IS" and "AS AVAILABLE".

2. Intellectual Property Rights

Unless otherwise indicated, the Application is our proprietary property. All source code, databases, functionality, software, designs, and trademarks (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. Except as expressly provided in these Terms of Use, no part of the Application and no Marks may be copied, reproduced, republished, or distributed for any commercial purpose without our express prior written permission.

3. User Representations

By using the Application, you represent and warrant that: (1) all registration information you submit is true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not under the age of 13; (5) you will not access the Application through automated or non-human means; (6) you will not use the Application for any illegal or unauthorized purpose; and (7) your use will not violate any applicable law or regulation.

4. User Registration

You may be required to register to use the Application. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate, obscene, or otherwise objectionable.

5. Prohibited Activities

You may not access or use the Application for any purpose other than that for which we make it available. As a user, you agree not to:

  • Systematically retrieve data or content to create a collection or database without written permission.
  • Trick, defraud, or mislead us and other users, especially to learn sensitive account information.
  • Circumvent, disable, or otherwise interfere with security-related features of the Application.
  • Use the Application to advertise or sell goods and services not authorized by us.
  • Engage in unauthorized framing of or linking to the Application.
  • Upload or transmit viruses, Trojan horses, or other material that interferes with any party's uninterrupted use of the Application.
  • Use the Application as part of any effort to compete with us or otherwise use the Application for any revenue-generating endeavor or commercial enterprise without authorization.
  • Attempt to bypass any measures of the Application designed to prevent or restrict access.

6. User-Generated Contributions

The Application invites you to create, submit, post, transmit, and share content, including messages, replies, reactions, images, and files (collectively, "Contributions"). Contributions may be viewable by other users of the Application and through third-party websites. Any Contributions you transmit will be treated in accordance with the Privacy Policy. When you create or make available any Contributions, you represent and warrant that your Contributions do not violate the rights of any third party, are not false or misleading, are not unsolicited advertising, and do not violate any applicable law or regulation.

7. User-Generated Content Policy

Sapsal has zero tolerance for objectionable content or abusive behavior. This Section is a binding part of these Terms.

By using the Application, you agree that you will not create, upload, post, send, or share any Contribution that:

  • is unlawful, harassing, abusive, threatening, harmful, or invasive of another's privacy;
  • is defamatory, libelous, or knowingly false;
  • is obscene, or otherwise objectionable;
  • promotes discrimination, bigotry, racism, hatred, or harm against any individual or group;
  • harasses, intimidates, or bullies any other person;
  • infringes any patent, trademark, copyright, or other intellectual property right;
  • exploits or endangers minors in any way.

Sapsal is an invitation-only service: workspaces are private, and you can only join a workspace through an invitation from one of its members. Because access is closed, moderation is handled by the administrators of each workspace, supported by the Service Provider. To keep the community safe:

  1. Workspace moderation — Each workspace is governed by its administrators. Administrators can remove any Contribution and remove (eject) any member from the workspace. A removed member is also barred from re-joining that workspace through any existing or future invitation.
  2. In-app reporting — You can report any message directly in the app: press and hold the message, choose Report message, and select a reason. Your report is sent to the channel's administrators for review. You can also contact the Service Provider directly at [email protected] (also available in the app under Settings → Contact us).
  3. Review and enforcement — Administrators review reported messages in the app and act on objectionable content and abusive users by deleting the offending message and/or ejecting and barring the responsible member. We aim to act on reports within 24 hours.

We reserve the right, but are not obligated, to monitor, review, and remove any Contribution at our sole discretion, and to suspend or terminate the accounts of users who violate this policy.

8. Contribution License

By posting your Contributions, you grant us a non-exclusive, worldwide, royalty-free license to host, store, use, copy, reproduce, and display your Contributions solely for the purpose of operating and providing the Application to you and to the other members of your workspaces. This license does not grant us ownership of your Contributions. We do not assert any ownership over your Contributions; you retain full ownership of all of your Contributions and any intellectual property rights associated with them.

9. Mobile Application License

If you access the Application via a mobile device, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the Application on wireless electronic devices owned or controlled by you, strictly in accordance with these Terms of Use.

The following terms apply when you use the Application obtained from the Apple App Store or Google Play ("App Distributor"): the license is limited to use on a device that uses the Apple iOS or Android operating systems; we are responsible for providing maintenance and support as specified in these Terms; in the event of any failure of the Application to conform to any applicable warranty, you may notify the App Distributor, and the App Distributor may refund the purchase price (if any); the App Distributor has no other warranty obligation; you must comply with applicable third-party agreement terms when using the Application.

You acknowledge and agree that Apple and Google, and their respective subsidiaries, are third-party beneficiaries of these Terms of Use, and that, upon your acceptance of these Terms of Use, Apple and Google will have the right (and will be deemed to have accepted the right) to enforce these Terms of Use against you as a third-party beneficiary thereof. We, and not the App Distributor, are solely responsible for the Application and its content, and for addressing any claims relating to the Application, including product liability claims, claims that the Application fails to conform to any applicable legal or regulatory requirement, claims arising under consumer protection or privacy legislation, and any third-party claim that the Application infringes that third party's intellectual property rights.

10. Submissions

You acknowledge and agree that any questions, comments, suggestions, or other feedback regarding the Application ("Submissions") provided by you are non-confidential and shall become our sole property. We shall be free to use such Submissions for any lawful purpose without acknowledgment or compensation to you.

11. Term and Termination

These Terms of Use remain in full force while you use the Application. We may, in our sole discretion and without notice or liability, deny access to and use of the Application to any person for any reason, including for breach of these Terms of Use. We may terminate your use or participation or delete your account and any content at any time, without warning.

12. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Application at any time for any reason at our sole discretion without notice. We cannot guarantee the Application will be available at all times and will not be liable for any interruption, delay, or error.

13. Governing Law

These Terms of Use and your use of the Application are governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law principles.

14. Dispute Resolution

Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the courts located in the Republic of Korea, and you and we consent to the personal jurisdiction of such courts.

15. Disclaimer

THE APPLICATION IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE APPLICATION WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE APPLICATION AND YOUR USE THEREOF, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

16. Warranty and Defect Notification

To the extent any warranty applies notwithstanding the disclaimer above, you are required to inspect the Application immediately after installing it and to notify us, without undue delay, of any defect you discover, by email at the address in the Contact Information section. A defect report will be taken into consideration and further investigated only if it has been emailed within fourteen (14) days after the defect was discovered. If we confirm that the Application is defective, we reserve the choice to remedy the situation either by resolving the defect or by providing a substitute. For users who are entrepreneurs, any claim based on defects expires after a statutory limitation period of twelve (12) months after the Application was made available to the user; the statutory limitation periods provided by law apply for users who are consumers.

17. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APPLICATION.

18. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand made by any third party due to or arising out of your Contributions, your use of the Application, or your breach of these Terms of Use.
